The boards would say the same thing corporate boards say about pay.

They would say talent is scarce and you have to pay for it. (The comp committee report in every proxy could well be all written on the same template). It's the star system that IMHO is responsible for a lot of the problems in this country, execs think they are stars and deserve to be paid that way and the tame boards of either public entities or corporations give in to their ruler.
