Just like if you loan stock out the payments in lieu of dividends don't get the 15% rate, perhaps provide that this sort of treatment applies only to stocks used as collateral for loans, since they are marked to market every so often, and margin calls can result. So if Zuckerberg did not do like Bernie Ebbers and use his stock to borrow against for other purposes, but rather sold it if he needs money it works out better. Of course it means that he would be giving up control sooner rather than later.
